Terms of Service

1. Acceptance of Terms

By accessing or using the GroundTruth website, application, and API services (collectively, the "Services") provided by Appvergence LLC, d/b/a GroundTruth ("GroundTruth," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Services

GroundTruth provides an AI answer verification platform that enables you to:

  • Upload and manage knowledge bases containing your support documentation.
  • Verify AI-generated responses against your knowledge base via REST API.
  • Receive risk scores, claim-level verdicts, and safe rewrites for verified content.
  • Access analytics and audit logs for verification activity.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice to affected users.

3. Accounts

To use the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password and API keys secure and confidential.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payments and Billing

Paid plans are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you agree to the following:

  • You authorize us to charge your payment method for the subscription fees at the beginning of each billing period.
  • All fees are non-refundable, except as required by law or as expressly stated in these Terms.
  • If you exceed your plan's monthly verification check limit, overage charges will be applied at the rates specified in your plan.
  • We may change our pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing period.
  • You are responsible for all applicable taxes. Fees are exclusive of taxes unless otherwise stated.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Services, other accounts, or our systems.
  • Interfere with or disrupt the Services or servers and networks connected to the Services.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services to build a competing product or service.
  • Exceed rate limits or use automated means to access the Services in a way that degrades performance for other users.

6. Intellectual Property

The Services, including all software, algorithms, designs, and documentation, are owned by GroundTruth and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You retain all rights to your knowledge base content and any data you submit to the Services. By uploading content, you grant us a limited license to process your content solely for the purpose of providing the Services.

7. Termination

You may terminate your account at any time by contacting us or through the account settings in the dashboard. Upon termination:

  • Your access to the Services will be immediately revoked.
  • We will delete your knowledge base data within 30 days.
  • Verification logs will be retained according to your plan's retention period, then deleted.
  • You remain responsible for any outstanding fees incurred before termination.
  • No refunds will be issued for unused portions of prepaid subscription periods.

We may terminate or suspend your account immediately, without prior notice, if you violate these Terms or engage in activity that could harm the Services or other users.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROUNDTRUTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Services.
  • Any unauthorized access to or alteration of your data.
  • Any third-party conduct on the Services.
  • Any content or data obtained through the Services.
  • Errors, inaccuracies, or omissions in verification results.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GROUNDTRUTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. VERIFICATION RESULTS ARE PROVIDED FOR INFORMATIONAL PURPOSES AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR DECISION-MAKING.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
